1. What these terms cover
These Terms of Service govern your use of the public sites at klaut.id and compass.klaut.id, the Compass application at compass-app.klaut.id, and any information, content, demos, or interactive surfaces we make available through them. Together we call these the Sites.
These terms do not, on their own, create a paid engagement between you and Klaut. Foundation, Chief AI Officer, Compass, and Audit engagements are delivered under a separate signed engagement letter and any data processing addendum that letter attaches. Where a signed engagement letter conflicts with these terms on the same subject, the engagement letter controls for that subject.
By using the Sites you accept these terms. If you do not accept them, do not use the Sites.
2. Who can use the Sites
You may use the Sites if you are at least 18 years old and acting either on your own behalf or as an authorised representative of an organisation. If you use the Sites on behalf of an organisation, you confirm that you have authority to bind that organisation to these terms in respect of the Sites.
The Sites are intended for business audiences evaluating Klaut's services. They are not consumer products and we do not solicit consumer transactions through them.
3. The relationship the Sites create
Reading the Sites, requesting a call, or exchanging emails with us does not create a contractual obligation for Klaut to deliver any service. We are free to decline an engagement at our discretion, including where the scope is outside our practice, the timeline is not workable, or the work conflicts with our positioning on workforce development.
A paid engagement begins when both parties sign an engagement letter or equivalent document. Until that point, conversations are exploratory, materials are illustrative, and either side can step away without further obligation.
4. Acceptable use
You agree to use the Sites only for lawful business purposes. You agree not to:
- Reverse engineer, decompile, or extract the underlying code of compass-app.klaut.id beyond what is necessary for routine browser-side rendering.
- Scrape, crawl, or otherwise extract content from the Sites at a rate that interferes with their operation or that exceeds what a typical reader would generate.
- Attempt to access accounts, environments, or data that do not belong to you.
- Probe the Sites for vulnerabilities outside the responsible disclosure programme described on the Security page.
- Upload or transmit material that is unlawful, infringing, defamatory, or otherwise injurious.
- Use the Sites to train, fine-tune, or evaluate machine learning models on a commercial basis without our written agreement.
We may suspend or terminate access for any user who breaches this section. Where the breach causes loss, we reserve the right to seek remedies available under Indonesian law.
5. Intellectual property
The Sites, including all text, design, code, illustrations, video, brand marks, and methodologies presented on them, are owned by Klaut AI or our licensors and are protected by Indonesian and international intellectual property law. The square K mark and the word "Klaut" are trademarks of Klaut AI.
You may view, print, and quote reasonable extracts from the Sites for non-commercial evaluation, in each case attributing the source to Klaut. You may not republish substantial portions of the Sites, reuse our design system in your own product, or present our methodology as your own.
Where a client engagement produces deliverables for the client — strategy documents, configuration artefacts, evaluation harnesses, training material, governance frameworks — ownership and licence terms for those deliverables are set in the engagement letter, not in these Terms.
The Compass platform, including its data model, observation logic, instructional content generation, and reporting architecture, remains the property of Klaut AI. A client subscription grants the client a non-exclusive, non-transferable right to use Compass on the agreed scope for the term of the subscription. It does not transfer ownership of the platform.
6. Client data ownership
Your data is yours. Data a client provides to Klaut, or that Compass collects inside a client environment, remains the property of the client. Klaut processes that data only for the purposes set out in the engagement letter and the data processing terms attached to it.
At the end of an engagement, Klaut returns or deletes client data on a schedule set by the engagement letter. The default for a Compass deployment is full deletion within ninety days of contract termination. A client may request earlier deletion or an extended retention window in writing.
7. Compass-specific terms
These additional terms apply where a client subscribes to Compass.
Scope. Compass is deployed inside a defined function (for example a customer service team) on a defined data scope. The scope is agreed in writing before deployment. Klaut does not unilaterally expand the scope of an active deployment.
Headcount. Compass is priced per seat per month, calibrated to the number of employees in the deployed function. The client reports headcount changes monthly; pricing adjusts at the next billing cycle.
Workforce development purpose. Compass is a workforce development product. The client agrees not to use Compass outputs, in isolation, as the primary basis for any employment decision adverse to an employee, including dismissal, demotion, or pay reduction. Compass data may inform such decisions only as part of a broader, documented review process consistent with applicable employment law.
Privacy split. The three-way visibility model described in the Privacy Policy — Employee, Manager, HR — is a contractual condition of the deployment, not a configuration option. The client agrees not to circumvent the split, attempt to access individual-level data from an aggregate view, or build derivative tooling that reconstructs identity from de-identified outputs.
Service availability. We target high availability for the Compass application, with maintenance windows and incident response defined in the engagement letter. Compass is not a life-safety system and should not be deployed in environments where uninterrupted availability is a safety requirement.
8. Engagement model for consulting services
Foundation, Chief AI Officer, and Audit engagements are delivered as defined-scope projects or fractional retainers under an engagement letter. Each letter specifies:
- The scope of work, deliverables, and acceptance criteria.
- The fee, billing schedule, and expenses policy.
- The named Klaut team and the client's named decision-maker.
- Data handling, confidentiality, and any data processing terms.
- Duration, renewal, and termination terms.
- Governing law and dispute resolution where it differs from these Terms.
Where the engagement letter is silent on a subject these Terms address, these Terms apply. Where it speaks on a subject, the engagement letter controls.
9. Confidentiality
Each party will treat the other's non-public information disclosed during evaluation or engagement as confidential, will use it only for the purpose of evaluating or delivering the engagement, and will protect it with at least the same care it uses for its own confidential information. The obligation survives termination by three years, or by longer where applicable law or the engagement letter requires.
Confidentiality does not apply to information that is or becomes public without breach, was lawfully known before disclosure, is independently developed without reference to the disclosed information, or is required to be disclosed by law or court order with reasonable prior notice to the other party.
10. AI output disclaimers
AI systems produce outputs that are useful, often state-of-the-practice, and sometimes wrong. Klaut's consulting methodology is built around that reality — through evaluation harnesses, governance frameworks, and human review at decision points. We do not warrant that any AI system deployed under a Klaut engagement will produce correct outputs in every case.
For the Sites specifically: information presented on klaut.id and compass.klaut.id is provided for general business evaluation. It is not legal, tax, regulatory, or financial advice. Do not act on it without consulting the appropriate professional advisor.
11. Warranties and disclaimer
To the extent permitted by law, the Sites are provided on an "as is" and "as available" basis. We do not warrant that the Sites will be uninterrupted, that errors will be corrected immediately, or that the Sites are free of malicious code introduced by third parties beyond our control.
Express warranties applicable to a paid engagement, including any uptime commitment for Compass, are stated in the engagement letter and apply only there.
12. Limitation of liability
To the maximum extent permitted by Indonesian law, Klaut AI is not liable for indirect, incidental, consequential, special, or punitive damages arising from use of the Sites, including lost profits, lost revenue, lost data, or business interruption, whether based on contract, tort, or any other theory.
Where Klaut delivers services under a signed engagement, total aggregate liability is capped at the fees paid by the client to Klaut under that engagement in the twelve months preceding the event giving rise to the claim. This cap does not limit liability that cannot be excluded by law, including liability for fraud or wilful misconduct.
13. Indemnification
You agree to indemnify Klaut against claims, losses, and expenses arising from your breach of these Terms or your unlawful use of the Sites. Klaut agrees to indemnify a client against third-party claims that a Klaut-built deliverable infringes that third party's intellectual property, on terms set out in the engagement letter.
14. Termination and suspension
We may suspend or terminate access to the Sites at any time, with or without notice, where continued access would breach these Terms, expose Klaut or a client to legal risk, or where required by law. Termination of access to the Sites does not, on its own, terminate an active engagement. Termination of a paid engagement is governed by the engagement letter.
15. Governing law
These Terms are governed by the laws of the Republic of Indonesia, without regard to conflict-of-law rules. The Indonesian language version of these Terms is the controlling version where required by Indonesian law (Undang-Undang No. 24 Tahun 2009); the English version is provided for the convenience of international parties.
16. Dispute resolution
Disputes arising from or related to these Terms or use of the Sites are resolved first by good-faith discussion between named representatives of each party. Where discussion does not resolve the dispute within thirty days, the dispute is referred to arbitration administered by the Indonesian National Arbitration Board (Badan Arbitrase Nasional Indonesia / BANI) under its prevailing rules. The seat of arbitration is Jakarta. The language of arbitration is English unless both parties agree otherwise. The arbitration award is final and binding.
Either party may, in addition, seek injunctive or other interim relief in the competent courts of Jakarta Selatan to protect confidential information or intellectual property pending the outcome of arbitration.
17. Changes
We may revise these Terms from time to time. The current version, with its effective date, is posted on this page. Material changes affecting an active client are notified by email to the named client contact under the engagement letter. Continued use of the Sites after a change takes effect means you have accepted the revised version.
18. Miscellaneous
These Terms, together with any engagement letter and any document referenced inside it, form the entire agreement between you and Klaut on the subject they address, and supersede any prior agreement on that subject.
If any provision is held invalid or unenforceable, the remaining provisions remain in effect. Klaut's failure to enforce a provision on any occasion is not a waiver of the right to enforce it on another occasion.
You may not assign these Terms to another party without our written consent. We may assign them to a successor entity in connection with a merger, acquisition, or reorganisation, on notice to you.
